The Opportunity

The VP, Mergers and Acquisitions will lead all aspects of M&A including but not limited to formulating acquisition strategy, identifying strategic growth opportunities, sourcing, and analyzing target companies, conducting due diligence, structuring transactions, negotiating, executing deals, and supporting integration strategy and value realization.

We offer a flexible work environment that requires an individual to be in the office 4 days per week. This position can be based in the following location: San Antonio, TX.

 

What you’ll do:

  • Identify and prioritize new strategic growth opportunities and areas of M&A focus within USAA’s lines of business of property and casualty insurance, life insurance, and retail banking

  • Develop acquisition strategy, roadmaps, and research adjacent markets to identify prospects as well as potential bolt-on acquisitions to help build on the strategic position of existing businesses

  • Continually evaluate new market trends and competitive opportunities / threats, including analysis to assess market sizing, segmentation, addressable market, and penetration

  • Develop and maintain relationships with investment banks, legal advisers, potential acquisition targets, and other industry players to source and build a transaction pipeline consistent with USAA’s strategic growth objectives and timelines

  • Partner closely with all key stakeholders throughout the entire acquisition lifecycle including legal, finance, accounting, tax, human resources, risk, external advisers, and specialty consultants

  • Conduct due diligence meetings with internal and external parties

  • Prepare analyses, recommendations, and updates to executive leadership

  • Synthesize complex analyses and identify implications with attention to detail

  • Support the successful integration of acquired companies and value realization

  • Willingness to challenge assumptions and the status quo to establish best practices and leading M&A capabilities

  • Ensures risks associated with business activities are effectively identified, measured, monitored, and controlled in accordance with risk and compliance policies and procedures

What you have:

Minimum Education:

  • Bachelor’s degree ; OR 4 years of related experience (in addition to the minimum years of experience required) may be substituted in lieu of degree

Minimum Experience:

  • 10 years of progressive related experience in M&A developing strategies, managing major initiatives, and delivering results within a complex matrixed environment

  • 8 years of people leadership experience in building, managing and/or developing high-performing teams required 6 years of experience in business development and strategic planning with related experience developing strategies, managing major initiatives, and delivering results within a complex matrixed environment required

  • Subject matter expert in financial services, preferably insurance  

  • Demonstrated expertise in research, financial modeling, valuation, analysis, and communicating findings

  • Demonstrated experience collaborating with executive council and senior level internal leaders, external advisers, stakeholders and influencing and negotiating business decisions to achieve strategic objectives

  • Strong problem solving and communication skills

  • Proven experience negotiating and closing strategic transactions, to include working with attorneys

What we offer:

Compensation:

USAA has an effective process for assessing market data and establishing ranges to ensure we remain competitive. You are paid within the salary range based on your experience and market position. The salary range for this position is: $257,250 - $463,050.

Employees may be eligible for pay incentives based on overall corporate and individual performance or at the discretion of the USAA Board of Directors.

Long Term Incentive Plan: Cash payment for Executive level roles only, representing a cash payment which is both time and performance based.
