Structured Finance Manager - Military Veterans

The base salary range for this position is dependent upon experience and location, ranging from: $129,000 - $185,000

Primary Job Responsibilities:

1. Create and run tax-equity financial models for new financings to maximize corporate value, incorporating complex financing concepts, accounting rules and tax regulations. Analyze tax-monetization or structured debt financing alternatives in support of corporate planning objectives.

2. Prepare compelling and thorough offering materials for new financings, including proformas and other required information. Review and analyze investor proposals and proforma calculations.

3. Lead cross-functional team tasked with supporting critical path due diligence process for new financings:

  • Create financing project plan and deliverables and identify resources required to carry out the plan.
  • Chair weekly meetings on progress against plan; identify and address deviations working with cross-functional team.
  • Manage information flow between company and investors, timely response to investor/consultant questions and data room contents.
  • Manage engagement of outside consultants tasked with timely delivery of engineering, transmission, insurance, and appraisal consulting reports.
  • Review and participate in negotiation of financing agreements and related contracts.
  • Manage timeline to closing and highlight areas that could delay closing for further attention.

4. Manage existing tax equity partnerships:
  • Ensure timely and accurate delivery of required accounting and operating reports.
  • Respond to all questions from investors.
  • Prepare calculations to determine progress toward investors' achieving their target IRR.
  • Manage the process to obtain required investor consents for major partnership decisions.

5. Prepare long-term projections and presentations as required by Treasury for ratings agencies and shareholder relations.

6. Monitor structured finance marketplace for new structures that may be of use to Avangrid.

7. Provide presentation materials for structured finance proposals to senior management to obtain approvals. For approved transactions:
  • Perform financial analyses to maximize corporate value, incorporating complex financing concepts and tax, accounting, and ownership issues.
  • Prepare equity partnership offering materials, data files and other required information.
  • Furnish information and presentation materials to senior management.
  • Work with investors and their legal teams/consultants as well as our internal departments to support due diligence process for new partnerships.

Experience/Education:
  • Degree in finance or accounting; MBA or other advanced degrees in quantitative fields preferred, but not required.
  • 8 years of relevant experience (e.g., modeling structured finance transactions).
  • Ability to manage external consultants and internal professional staff to complete new financings under tight deadlines.
  • Knowledge of i) banking and tax equity markets, ii) the commercial Renewables business (business model, technologies, competitive landscape).
  • Understanding of tax law and regulation, particularly as it relates to statutes and regulations affecting the Renewables business (e.g., tax credits) and of corporate tax planning; ability to incorporate concepts into sophisticated financial models.
  • Ability to interact effectively with outside investors on matters related to compliance and project performance.
  • Energy industry experience preferred; renewable energy industry experience desirable.
  • Ability to comprehend complex legal documents, understand company obligations pursuant to, and participate in negotiations or, said documents.
  • Solid attention to detail.
  • Leadership skills in a team environment.
