THE OPPORTUNITY

As a Senior Paralegal, Corporate, you will provide administrative and paralegal support to the corporate, securities and compliance team-with a focus on contracts, subsidiary maintenance and SEC and corporate governance matters-to help ensure that Chipotle is living its values, protecting its business with strong contracts, timely meeting all SEC deadlines, and assisting in the successful management of corporate and compliance matters. This role is important to Chipotle's success in supporting our operations, fulfilling our legal obligations, and ensuring accurate and timely SEC reporting, which will position the legal department as a valuable cross-functional business partner.

WHAT YOU'LL DO


  • Review and provide comments on business contracts such as non-disclosure agreements, purchase contracts, consulting agreements, marketing agreements and event contracts, and manage the implementation and maintenance of our contract management system.

  • Prepare corporate governance documents and materials related to the Board of Directors and Board Committees, including agendas, minutes and resolutions, and manage the distribution of materials via our electronic Board portal.

  • Review, research and assist with drafting Chipotle's filings with the SEC and the NYSE, including Section 16 filings, proxy statements and Form 10-K, and maintain detailed records supporting disclosures; circulate and compile responses to quarterly SEC certifications.

  • Manage our domestic and international subsidiaries, including formation, dissolution and drafting governing documents and required filings and documenting

  • Support Chipotle's charitable campaigns, including gathering internal finance documentation and approvals from the nonprofit organization

  • Facilitate law department budget tracking and management by assisting with law firm setup and billing in e-billing system, and preparation and distribution of related reports.

  • Research, draft and make recommendations regarding the design and implementation of policies and procedures to enhance and ensure compliance with various legal requirements



WHAT YOU'LL BRING TO THE TABLE


  • High school diploma or general education degree (GED) required.

  • Bachelor's Degree (BA/BS) from 4-year college or university preferred.

  • 5-8 years of corporate paralegal or equivalent relevant experience.

  • Corporate in-house legal department experience preferred.

  • Paralegal certificate.

  • Proficient with MS Office - Excel, Word, PowerPoint, & Outlook, online entity management systems and e-billing. Extensive knowledge of MS Excel preferred.

  • Experience with online contract management and entity management systems preferred.

  • Excellent communication and analytical skills.

  • Ability to work independently and collaboratively with a team.

  • Ability to work with cross-functional partners.



PAY TRANSPARENCY

A reasonable estimate of the current base pay range for this position is $40.38-$56.25. You are also eligible for annual cash bonuses and equity awards based upon performance and other factors. Actual compensation offered may vary depending on skill level, experience, and/or education.
